Terms of Sale

1. Who You Are Buying From

These materials are sold by Empire Safety Co., LLC, a Missouri limited liability company ("Empire Safety," "we," "us," or "our").

2. What These Terms Cover

These terms apply to any digital product purchased directly or indirectly from Empire Safety Co. That includes Safety Bite Packs, Compliance Bundles, and any other downloadable document, template, or digital file we offer.

They do not cover consulting, advisory, training delivery, or custom services. Services, if offered, are governed by separate written agreements or terms presented at the time of engagement.

3. Nature of Purchase (License, Not Sale of Ownership)

You are purchasing a non-exclusive license to use the materials. You are not purchasing ownership of the materials. All copyright, trademarks, trade secrets, and intellectual property rights remain exclusively with Empire Safety Co., LLC.

4. Scope of License

Subject to Section 5 and full payment of the purchase price, Empire Safety grants you a perpetual, non-exclusive, non-transferable license to download, print, edit, adapt, and internally distribute the materials within your specific organization across your operating sites and personnel.

Adapting the materials to reflect your organization's specific operational needs is expected and encouraged.

Use by an outside adviser. If your organization engages a consultant, contractor, or other outside adviser to support your safety program, that adviser may use and deploy the materials within your organization on your behalf, provided your organization is the licensee and the adviser charges no separate fee for the materials themselves. This permission extends to your organization only. It grants the adviser no license to use the materials with any other client.

5. License Restrictions

You shall not:

• Resell, relicense, sublicense, lease, assign, or otherwise distribute the materials to any third party or outside your organization, whether modified or unmodified;
• Repackage the materials, in whole or in part, into any product, service, framework, or solution offered to third parties;
• Use the materials as part of a commercial training, coaching, or consulting offering;
• Share, publish, or upload the materials to any public website, file-sharing server, shared repository, or AI-training platform;
• Remove, obscure, or alter any attribution, copyright notices, or disclaimers embedded within the materials.

6. Product Descriptions & Limitations

• Safety Bite Packs: Brief awareness materials intended to maintain hazard visibility between formal training sessions. They are not comprehensive safety programs, required regulatory training records, or substitutes for mandatory employee training.
• Compliance Bundles: Framework templates intended as a starting point for adaptation to your operation. They do not constitute completed compliance programs, nor do they guarantee regulatory compliance.
• No Legal Advice: Nothing sold or communicated by Empire Safety Co., LLC constitutes legal advice.

7. Customer Responsibility for Compliance

You bear sole responsibility for determining your organization's legal, regulatory, safety, statutory, and insurance requirements, and whether these materials fulfill those duties. Regulatory obligations depend on factors unique to your business, including equipment, chemical usage, processes, workforce, and local jurisdictions. Empire Safety evaluates none of those factors.

Purchasing, modifying, or deploying these materials does not establish that any statutory, administrative, or contractual training or documentation obligation has been satisfied.

8. No Professional Relationship

Your purchase does not establish a consulting, legal, advisory, or professional services relationship. No Certified Safety Professional (CSP)–client or attorney-client relationship is created by purchasing, accessing, or discussing these materials.

9. Disclaimer of Warranties

Laws and regulations change continuously and vary by jurisdiction. While we periodically update our products, we assume no obligation to update previously purchased materials or notify past buyers of legal changes.

10. Delivery & Platform Access

Products are delivered digitally to the email address or account provided during purchase. Delivery failure due to email filtering or technical errors will be remediated by contacting us at hello@empiresafetyco.com. We are not liable for temporary delays caused by third-party hosting, payment processing, or internet service outages.

11. Refunds & Cancellations

• Marketplace Sales: Purchases made via third-party platforms (e.g., Etsy, Gumroad) are governed by the respective platform's refund policy.
• Direct Sales: For direct sales made through Empire Safety Co. without a marketplace or platform intermediary, all sales are final. Digital products are non-refundable once delivered, because delivery cannot be undone.

These terms are governed by the laws of the State of Missouri, without giving effect to conflict-of-law principles. Any legal suit, action, or proceeding arising out of or relating to these terms shall be instituted exclusively in the state or federal courts located in Missouri, and you irrevocably consent to their jurisdiction.

15. Severability & Entire Agreement

If any provision of these terms is held invalid or unenforceable, that provision will be enforced to the maximum extent permissible, and the remaining provisions will remain in full force. These terms constitute the complete agreement between you and Empire Safety Co., LLC regarding digital product sales.
